Walking the Tightrope: Ethical Issues in Representing Providers in Contract Negotiations

Attorneys involved in business contract negotiations often face a different set of ethical questions and dilemmas than those that arise in the litigation context, e.g., how to balance your obligation to represent your client zealously with your obligation to be truthful in statements to others.  Some of these issues may be particularly challenging in health care contracting, where subtle factual nuances can give rise to significant regulatory risks.  In addition, in many health care contracting situations the contracting parties have longstanding business relationships that will continue on after the contract is signed, requiring attention to factors  beyond purely legal and ethical considerations.

This program will provide a brief overview of some common health care agreements; summarize the relevant Rules of Professional Conduct; and use a few case studies to frame the discussion of how the ethical rules might impact the contract negotiation.  There will be ample opportunity for audience participation.

Robert J. Milligan is a shareholder in the Phoenix, Arizona law firm of Milligan Lawless, P.C. He focuses his practice on the representation of physicians, physician organizations and other health care and life sciences clients, providing advice on a wide variety of matters including business transactions, regulatory compliance, licensing, medical research, professional liability and risk management.  In addition to his law degree from De Paul University, Mr. Milligan has a Masters of Law (LL.M.) degree in Biotechnology and Genomics from the Sandra Day O’Connor College of Law at Arizona State University.   He is listed in ‘The Best Lawyers in America,’ and in Chambers USA, for health care law.

Location

This program will be a hybrid program with both an in-person and virtual option. Please select the appropriate ticket for whether you intend to be in-person or virtual. Lunch will be provided to those in-person. The Zoom information will only be provided to those who purchase virtual tickets. 

To Register

Regardless of membership, you must login to purchase tickets. To do so:

1.      Under ticket information, click “login to purchase”

2.      This will take you to the login page. If you are a member, use the login information utilized for your membership. If you are a non-member, you will need to create an account to purchase a ticket. Non-members who have not created an account yet, must select “Register” along the bottom next to “Lost your password?”

3.      From there, you will create an Account by entering a username, name, email address, and password. Then select “Complete Sign Up.”

4.      The account will need to be activated by using the link in a confirmation email sent to the registered email address. Once the account is activated, you will login using the credentials provided (username and password).

5.      Once logged in, navigate to the Program page and select the number of tickets needed and select “Get Tickets” to proceed with the checkout process.
